GENERAL RULES
Effective Date – February 24, 2025

1. WHAT IS THIS POLICY?
   This General Rules Policy (the "Policy") sets the rules that apply when you use or upload content to the platform available at www.watchtips.com and through any Watchtips.com mobile application available from time to time (collectively, the "Platform"), interact with other users of the Platform, link to the Platform, or engage with the Platform in any other way.
   It must be read in conjunction with our Platform's Terms of Use and forms an integral part of them.
   
   
2. PROHIBITED USES
   You may not use the Platform:
   • if you are under eighteen (18) years old;
   • in any way that violates applicable local, national, or international law;
   • in any illegal or fraudulent manner, or for any illegal or fraudulent purpose or effect;
   • to harass, insult, intimidate, or humiliate any person;
   • to harm any person;
   • to knowingly send, receive, upload, download, use, or reuse any material that does not comply with our Content Standards (Section 3); or
   • to transmit unsolicited or unauthorized advertising or promotional material, or any other form of solicitation ("spam").
   
   
3. CONTENT STANDARDS
   These content standards apply to any material you contribute to the Platform (your "User Content"). These content standards must be adhered to in both spirit and letter. Watchtips.com will determine, in its sole discretion, whether User Content violates these content standards.
   Any User Content must:
   • be accurate (when stating facts);
   • contain genuinely held opinions (where appropriate); and
   • comply with applicable law in any country from which it is published and to which the Platform is directed.
   Any User Content must not:
   • be likely to deceive any person;
   • contain illegal content or promote illegal content or activities;
   • be defamatory of any person;
   • be obscene, offensive, hateful, or provocative;
   • intimidate, insult, intimidate, or humiliate any person;
   • encourage, promote, or provide instructions for deliberate self-harm;
   • encourage or promote terrorism;
   • promote sexually explicit material;
   • include child sexual abuse material;
   • incite violence or hatred against specific groups;
   • promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
   • infringe any copyright, database right, or trademark of any other person;
   • include video content not legally permitted in any country from which it is published and to which the Platform is directed;
   • violate any legal obligation to third parties, such as a contractual obligation or a confidentiality obligation;
   • be contemptuous of the court;
   • invade the privacy of another person;
   • impersonate another person or misrepresent your identity or affiliation with any person;
   • give the impression that the User Content comes from, or is associated with, or approved by Watchtips.com when it is not; or
   • contain external advertising or promote services or links to other websites.
   
   4. PROHIBITED ITEMS
   The Platform allows you to advertise items to other users of the Platform that are exclusively related to the watch category. You must not advertise any item or service on the Platform that does not belong to this category or that is included in our list of prohibited items.
   Please note that the following list of prohibited items/services provides examples of the types of listings that are not allowed and is not intended to be an exhaustive list of all prohibited items. Watchtips.com reserves the right to remove (without notice) any listing or content that it deems (in its sole discretion) not in compliance with our Platform's Terms of Use or General Rules.
   Furthermore, Watchtips.com reserves the right to suspend and/or permanently ban users who attempt to post ads that violate our Platform's Terms of Use or General Rules.
   Please note that Watchtips.com will not provide any refund for listings removed by Watchtips.com for violation of our policies.
   Listings for the following items and/or services are prohibited and will be removed by Watchtips.com:

• Counterfeit or replica items
• Mobile phone numbers
• Reselling products/services in violation of the provider's terms and conditions
• Spam/repeated listings
• Advertisements promoting competitors of Watchtips.com

Additionally, advertisements or discussions outside the scope of horology are not allowed, such as: gambling services or machines, donation requests, buying or selling personal information/mailing lists/databases, VPN/device hacking services/jail-breaking services or similar services, sale of animals (real or fake) or related services, items made from or containing ivory, certificates in general, virtual currency/cryptocurrency/forex services/money exchange services, stocks/shares/securities, money-making schemes/pyramid schemes/ponzi schemes, credit/debit bank cards, etc.

5. VIOLATION OF THIS POLICY
If we believe you are violating this Policy, we may take the measures we deem appropriate at our sole discretion. Failure to comply with this Policy constitutes a violation of the Terms of Use of our Platform, which outline how you are permitted to use the Platform and may result in the implementation of all or some of the following measures:
• Issuance of a warning against you;
• Immediate, temporary, or permanent revocation of your right to use the Platform (including the closure of your account, if any);
• Immediate, temporary, or permanent removal of any User Content deemed harmful;
• Legal actions against you to recover all costs arising from your violation, or any further legal actions against you; and/or
• Disclosure of such information to the relevant authorities if we reasonably deem it necessary or as required by law.

These Terms of Use of the Watchtips.com platform (these "Terms of Use") set forth the rules for using the platform available at www.watchtips.com and through any mobile Watchtips.com application available from time to time (collectively, the "Platform"), as well as any information, content, or material posted on the Platform or available through it (collectively, the "Content"). These Terms of Use govern and condition your access to and use of the Platform and its Content by each visitor to the Platform (hereinafter referred to as "you").

1. WHO WE ARE AND HOW TO CONTACT US
The platform is managed and owned by WATCHTIPS.COM ("Watchtips.com", "we", "our", "us"). Our address is Al Barsha Third, P.O Box 452286, Dubai, United Arab Emirates. To contact us regarding these Terms of Use or anything related to the use of the Platform, please send an email to info@watchtips.com or via the designated area within our mobile app.

2. BY USING THE PLATFORM, YOU ACCEPT THESE TERMS OF USE
By accessing and continuing to use the Platform, you confirm your acceptance of these Terms of Use and acknowledge and agree that these Terms of Use govern and condition your access to and use of the Platform and any Content.
You acknowledge that these Terms of Use constitute a legally binding agreement between you and Watchtips.com.
If you use the Platform as a business entity or on behalf of a business entity, you represent that you have the authority to legally bind such entity.
If you do not agree to be bound by these Terms of Use, you may not access or use the Platform or any Content, and you must immediately cease doing so.

3. WE MAY MAKE CHANGES TO THESE TERMS OF USE
We may modify these Terms of Use from time to time, with or without notice. The new version of these Terms of Use will be made available on this page. If you are an existing registered user, we may also notify you of any substantial update to these Terms of Use via email (e.g., when we are legally required to do so).
Each time you wish to use the Platform, please check these Terms of Use to ensure that you have understood the terms and conditions that apply to the Platform and its Content at that time.

4. WE MAY MAKE CHANGES TO THE PLATFORM
We may modify how the Platform functions and/or change any Content from time to time without notice. This may occur, for example, to reflect changes in the features and functionalities of the Platform, the current state of technology, market practices, applicable laws or regulations, and/or our business priorities.

5. WE MAY SUSPEND OR WITHDRAW THE PLATFORM
We do not guarantee that the Platform and/or any Content will always be available free of charge or generally available. We may suspend or withdraw, or limit the availability of, all or part of the Platform for business and/or operational reasons.

6. YOUR PRIVACY
We encourage you to review our Privacy Policy to understand how we collect, process, and share your personal data in relation to your use of the Platform.

7. YOUR RIGHT TO USE THE PLATFORM AND CONTENT
As long as you continue to comply with these Terms of Use, Watchtips.com grants you a personal, limited, non-transferable, non-exclusive, and revocable right to use the Platform and Content.
You may print one (1) copy and may download extracts from any page of the Platform for your personal use, and you may bring to the attention of others the Content available on the Platform. You must not modify in any way the paper or digital copies of any material you have printed or downloaded, and you must not use illustrations, photographs, video or audio sequences, or any graphics separately from any accompanying text. You must not use any part of the Content for commercial purposes without obtaining a license to do so from us.
Watchtips.com is the owner or licensee of all rights (including intellectual property rights) in the Platform and any Content, including without limitation any design, text, graphics, and the selection and arrangement of these. The Platform and Content are protected by copyright laws and treaties worldwide. All such rights are reserved.
All trademarks, logos, branding, service names, and service marks ("Trademarks") displayed on the Platform are owned by us or by third parties. You may not use these Trademarks without our prior written consent.

8. RESTRICTIONS
It is prohibited to:
• Use the Platform if you are under eighteen (18) years old;
• Use the Platform in any illegal way or for any illegal purpose;
• Attempt to gain unauthorized access to the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform;
• Interfere with, damage, or disrupt any part of the Platform or any Content, or any equipment or network on which the Platform or Content are stored, or any software or other system or equipment used in providing the Platform or Content;
• Intentionally introduce viruses, trojans, worms, logic bombs, or any other harmful or technologically harmful material to the Platform;
• Impersonate any other person while using the Platform;
• Behave in a vulgar, offensive, abusive, or objectionable manner while using the Platform;
• Use the Platform to generate unsolicited advertisements or spam;
• Reproduce, duplicate, copy, sell, trade, resell, or exploit for any commercial purpose the Platform or any part of it, or any Content;
• Use manual methods or any software, device, script, bot, or any other means or process (including "spiders", "bots", and "crawlers") to scrape the Platform and/or its Content, or otherwise create or compile (in single or multiple downloads) a collection, compilation, database, or directory from the Platform or its Content, or bypass or attempt to bypass any robot exclusion header we may implement; or
• Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code of the Platform and/or its Content.
We will report any violations of the above restrictions to the relevant authorities and cooperate with those authorities by revealing your identity to them.

9. ACCOUNT CREATION
Account Creation
While you may browse the Platform as a guest, you will need to create an account (an "Account") to access certain features of the Platform. If you choose to register for an Account, you will need to provide certain information about yourself as required during the account registration process on the Platform.

Accurate and Up-to-date Information
If you create an Account, all registration information you submit must be truthful and accurate. If, for any reason, any information you submit is or becomes false, inaccurate, and/or incomplete, you must update such information to maintain its accuracy.

What to Do If You Want to Delete Your Account
You can request the deletion of your Account by sending an email to info@watchtips.com.

You Are Responsible for Your Account
You are responsible for maintaining the confidentiality of your Account login information (including your password). As a result, you are responsible for all activities that occur under your Account.

Unauthorized Use of Your Account
You should notify us immediately if you suspect or become aware of any unauthorized use of your Account or any other breach of its security.

Privacy
All information provided to create an Account (including any information provided to obtain "Verified" status) will be used in accordance with our Privacy Policy.

10. PAID SERVICES
Watchtips.com may, from time to time, offer paid services on the Platform ("Paid Service").

You acknowledge and agree that, with respect to each Paid Service:
• Any fee you pay for a Paid Service is non-refundable under any circumstances; and
• Paid Services are provided for your convenience and do not guarantee that your Listing will be successful or that it will result in a minimum number of contacts for your Listing.

11. LISTINGS
The Platform allows a user wishing to sell an item or service (the "Seller") to advertise such item or service (each a "Listing") to other users of the Platform. A user interested in such an item or service (the "Buyer") may then contact the Seller (via the Listing) to make an offer for the item or service.

If you are a Seller, you must:
• Be legally authorized to sell the item on the Platform;
• Be the legitimate owner of the item or legally authorized to sell the item or provide the service advertised in your listing;
• Ensure that your listing complies with our General Rules;
• Include a complete and accurate description of the item or service in your listing;
• Include only one (1) item in any Listing, and it is not possible to sell multiple items or services through a single Listing;
• Not post Listings in inappropriate categories or areas on the Platform;
• Not post Listings for counterfeit items or items that otherwise infringe on third-party copyrights, trademarks, or other rights;
• Not use the Platform as an agent, service, or intermediary of third parties offering to post Listings on the Platform on behalf of others;
• Comply with all applicable laws and regulations in relation to your Listing; and
• Act lawfully and in good faith in your dealings with Buyers.

If you are a Buyer, you must:
• Be legally authorized to purchase the item or service through the Platform; and
• Act lawfully and in good faith in your dealings with any Seller.

Watchtips.com may from time to time provide a feature that allows you to automatically complete Listings using an artificial intelligence (AI) tool or suggestions from an internal database. This feature is made available solely for your convenience. Due to the nature of this feature, it may not always provide accurate or complete results. It is your responsibility to verify the information included in your Listing before it is posted on the Platform. Watchtips.com disclaims all liability in connection with your use of this feature.

12. WATCHTIPS.COM IS NOT RESPONSIBLE FOR LISTINGS
You acknowledge and agree that Watchtips.com is not obligated to monitor, approve, or moderate Listings or their content. We are not responsible for Listings posted on the Platform.
If you wish to purchase an item or service through the Platform, you are purchasing it from the user who posted the relevant Listing, without involvement from Watchtips.com.
Although Watchtips.com is not responsible for Listings, we reserve the right to monitor them and remove them from the Platform if, in our sole discretion, a Listing violates these Terms of Use or the General Rules.

13. REVIEWS AND RATINGS
Watchtips.com may allow users to rate and review their interactions with other users on the Platform and also allow users to respond to any ratings or reviews they receive (each a "Review"). The purpose of Reviews is to create trust and transparency on the Platform and promote a respectful community.
Each Review posted on the Platform must fully comply with these Terms of Use and the General Rules. Additionally, Reviews must:
• Be factual, accurate, and represent the genuine opinion of the reviewer;
• Be based on the reviewer's actual experience and not on personal bias or irrelevant factors; and
• Not be defamatory, malicious, obscene, or provocative.

By submitting a Review on the Platform, you acknowledge and agree that all views and opinions expressed in the Review are solely yours.
Reviews are not endorsed and do not reflect the views or opinions of Watchtips.com, and Watchtips.com accepts no responsibility in relation to any review posted on the Platform. Any responsibility and obligation for a review remains with the reviewer.
Although Watchtips.com is not responsible for any Review posted on the Platform, we reserve the right to monitor Reviews and remove any Review from the Platform if, in our view, a Review violates these Terms of Use or the General Rules.

14. UPLOADING CONTENT TO THE PLATFORM
All content uploaded to the Platform, including as part of a Listing, will be considered non-confidential and non-proprietary.
You retain all your rights of ownership over your content, but you are required to grant us and other users of the Platform a limited license to use, store, and copy such content and to distribute and make it available to third parties. More specifically, you grant us a perpetual, worldwide, non-exclusive, royalty-free, and transferable license to use, reproduce, distribute, prepare derivative works, display, and perform such content in connection with the service provided on the Platform and to promote the Platform.
You are solely responsible for the protection and backup of your content.
We have the right to disclose your identity to any third party who claims that content you have posted or uploaded to the Platform infringes their intellectual property rights or their right to privacy.
We reserve the right to remove any content posted or uploaded by you to the Platform, with or without notice, if, in our sole discretion, it does not comply with these Terms of Use or the General Rules.

15. GENERAL RULES
Each time you use a feature that allows you to upload content to the Platform or interact with other users of the Platform, you must comply with the standards set in our General Rules.
You guarantee that such content complies with these standards and are responsible to us and indemnify us for any violation of this guarantee. This means you will be liable for any loss or damage we suffer as a result of your breach of the guarantee.

16. PAYMENT PROCESSING
In certain circumstances, we may collect your payments via the Platform (even when you choose to purchase Paid Services).
In that case, by providing us with your payment method details at the time of payment, you authorize us (acting through the payment processor we choose) to charge the payment method the amount shown to you at the time of payment.
We will not be responsible for any losses you may incur if the payment method used to make a payment on the Platform does not have sufficient funds to cover the full value of that payment.

17. VERIFIED BUSINESS ACCOUNT FEATURE DESCRIPTION
Watchtips.com may make available a "Verified Business Account" feature (the "Feature"). This Feature allows business users on the Platform to achieve a "Verified Business" status. The benefits associated with this Feature may change from time to time and will be described on the Platform at all relevant times (refer to this page).
As part of the Feature, you may have the opportunity to display your business logo and a description of your business on Watchtips.com's showcase and in your Listings. You may also provide a link to your website. You will be asked to upload this content to the Platform. You must ensure that such content is accurate, appropriate, compliant with our General Rules, and does not infringe third-party rights (including privacy rights and intellectual property rights). You must only provide content related to your business.

SUBSCRIPTION TO THE FEATURE
Business users of the Platform can subscribe to the Feature at any time by following the instructions on the Platform. Your subscription will begin on the day we confirm that our verification process has been completed. The Feature is subject to a monthly subscription fee (the price of which will be shown at the time of payment). The subscription price may change from time to time at Watchtips.com's discretion (if this happens, Watchtips.com will notify you by email before the new subscription price takes effect).
Please note that the subscription to the Feature will automatically renew on the anniversary of the start of the subscription (the "Billing Cycle") and the monthly subscription fee will automatically be charged to the payment method used, unless and until you cancel the subscription (by following the instructions on the Platform).

If you choose to cancel your subscription, you will have access to the Feature until the end of the current Billing Cycle.

PAYMENT OF SUBSCRIPTION FEES
By purchasing a subscription to the Feature, you agree to pay all applicable subscription fees to Watchtips.com (the "Subscription Fees"), as described at the time of payment and as may be updated from time to time. Subscription Fees will be charged using the payment method chosen at the beginning of each Billing Cycle. Watchtips.com uses a third-party payment processor to handle the payment of Subscription Fees. Please refer to the terms and conditions and privacy policy of that payment processor. It is your responsibility to ensure that the payment method selected at the time of payment has sufficient funds to cover the Subscription Fees in each Billing Cycle. Watchtips.com will not be responsible for any fees or charges you incur as a result of your choice of payment method. If we are unable to charge the Subscription Fees to your payment method in any Billing Cycle, we reserve the right to suspend your access to the Feature and/or suspend your Watchtips.com account until payment of the outstanding Subscription Fees is made.

PROVIDING KYC DOCUMENTS
To subscribe to the Feature, Watchtips.com must ensure that you manage your Watchtips.com account as a business. Therefore, Watchtips.com requires that you provide a copy of your business license (or equivalent document) and may request additional documents or information. By submitting such documents and information to Watchtips.com, you guarantee that they are authentic, accurate, and up to date. All documents and information provided to Watchtips.com will be handled in accordance with our Privacy Policy.

NO GUARANTEE OF FEATURE PERFORMANCE
The Feature is designed to allow business users of the Platform to be identified as such, potentially increasing trust from other users and visibility for your Listings. However, you acknowledge and agree that Watchtips.com does not provide any guarantee regarding the performance of the Feature and/or its impact on the success of your Listings.

WE MAY MODIFY OR DISCONTINUE THE FEATURE AT ANY TIME
Watchtips.com may, with or without notice, replace, replace, or remove features and functionalities from the Feature. Such changes may include modifications to the operation and/or appearance of the Feature, or the addition of new features or functionalities. Please note that you can cancel your subscription at any time. Watchtips.com may also discontinue the Feature at any time at its sole discretion.

WE MAY MODIFY THESE BUSINESS ACCOUNT TERMS
We may modify these Business Account Terms from time to time, with or without notice. The new version of these Business Account Terms will be made available on this page.

18. OUR LIABILITY TO YOU
We do not intend to exclude or limit our liability to you in any way where it would be illegal to do so.
Subject to the above, our liability to you is limited as follows:
• If you use the Platform for business or commercial purposes: we provide the Platform and Content "as is" and "as available." We exclude all implied terms, warranties, representations, or other terms that might apply to the Platform or any Content. We will not be liable to you for any loss or damage, whether contractual, tortious (including negligence), breach of legal obligations, or otherwise, even if foreseeable, arising from or in connection with your use or inability to use the Platform, or your use or reliance on any Content. In particular, we will not be liable to you for: (i) loss of profits, sales, business, or revenue; (ii) business interruption; (iii) loss of anticipated savings; (iv) loss of business opportunities, goodwill, or reputation; (v) loss or corruption of data; or (vi) indirect or consequential loss or damage.
• If you use the Platform for personal purposes: you acknowledge and agree that we provide the Platform solely for domestic and private use. We do not guarantee the availability of the Platform, or that the Platform or any Content will be error-free or fit for any specific purpose. You agree not to use the Platform for commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, interruption of business, or loss of business opportunities. If we fail to comply with these Terms of Use, we are only liable for the loss or damage you suffer as a result of our breach of these Terms of Use or failure to act with reasonable care and skill.
In no event will Watchtips.com's liability to you in connection with your use of the Platform or these Terms of Use, regardless of the cause of action or loss suffered by you, exceed the higher of: (i) the amount you paid for the Paid Service that is the subject of the dispute or claim (if applicable); or (ii) one hundred United Arab Emirates Dirhams (100 AED).

19. BREACH OF THESE TERMS OF USE
If we believe, in our sole discretion, that you are violating any part of these Terms of Use, we may take appropriate measures at our sole discretion, including, but not limited to, suspending or revoking your right to use the Platform or its Content, closing your Account, and/or taking legal action against you.

20. REPORTING ILLEGAL OR INFRINGING CONTENT
If you come across Content on the Platform that you believe is illegal, please contact us immediately at info@watchtips.com, providing all details of the illegal Content.
If you are the owner of intellectual property rights or an authorized agent acting on behalf of the intellectual property rights owner and believe that Content infringes upon your intellectual property rights or the rights of the owner on whose behalf you are authorized to act, please report it to Watchtips.com at info@watchtips.com with all the details of the alleged infringement. We will make every reasonable effort to remove any infringing Content from the Platform within a reasonable period of time.

21. GENERAL
Links to third-party sites or content. If the Platform contains links to other websites and/or third-party content (including Ads), these links are provided for informational purposes and your convenience. These links should not be interpreted as our endorsement of the linked websites or any content you may obtain from them. We have no control over the content of such third-party websites and exclude any responsibility in this regard.

Rules regarding linking to the Platform. You may link to any page of the Platform or any specific Content, provided that you do so in a fair and lawful manner and that you do not damage our reputation or profit from it. The Platform should not be framed within any other website. You must not establish a link in a way that suggests any form of association, approval, or endorsement by us where none exists. We reserve the right to revoke the permission to link without notice.

Contacts. You can contact us by sending an email to info@watchtips.com. If we need to contact you, we will write to the email address associated with your Account (if available) or contact you via the phone number you provided, with calls or messages.

We are not responsible for viruses. We do not guarantee that the Platform and the Content will be secure or free from bugs or viruses. You are responsible for configuring your device to access the Platform and Content securely. Where applicable, you should use your antivirus software.

We are not responsible for events beyond our control. We will not be liable for any failure or delay in performing any of our obligations caused by events beyond our reasonable control (each a "Force Majeure Event"). A Force Majeure Event includes any act, event, failure to occur, omission, or incident beyond our reasonable control. The performance of our obligations under these Terms of Use is considered suspended for the period during which the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will make reasonable efforts to end the Force Majeure Event or find a solution through which our obligations under these Terms of Use can be performed despite the Force Majeure Event.

Other agreements between you and Watchtips.com. You may have entered into other agreements with Watchtips.com or its affiliates, or you may have accepted other terms and conditions governing the use of other services provided by Watchtips.com or its affiliates. These Terms of Use apply in addition to such agreements. In case of conflict or ambiguity between these Terms and any other agreement between you and Watchtips.com or its affiliate, the provisions of these Terms shall prevail (but only to the extent of such conflict or ambiguity).

We may transfer our rights and obligations. We may transfer our rights and obligations under these Terms of Use to another organization. We will notify you in writing if this happens and will ensure that the transfer does not affect your rights under these Terms of Use.

No one else has any rights under these Terms of Use. These Terms of Use are between you and Watchtips.com only, and no other person shall have any right to enforce or rely upon any of its provisions.

Even if we delay enforcing our rights under these Terms of Use, we may still enforce them later. If we do not immediately insist that you do something you are required to do under these Terms of Use, or if we delay taking action against you in relation to your breach of these Terms of Use, it will not mean that you do not have to do those things, and it will not prevent us from taking action against you at a later time.

If a court finds that any part of these Terms of Use is illegal, the rest will remain valid. Each of the sections of these Terms of Use operates separately. If a court or competent authority decides that any part of them is illegal, the remaining sections will remain fully valid and enforceable.

Access to the Platform from another territory. The Platform is only intended for persons residing in certain territories. We cannot guarantee that the Content available on or through the Platform is appropriate for use or available in places where we do not explicitly make the Platform available, and we cannot guarantee that the Platform complies with laws and regulations in territories where we do not operate.

Language. If these Terms of Use are translated into any other language and there is a discrepancy between the English text and the text in the other language, the English version of the text will prevail to the maximum extent permitted by applicable law.

Dispute resolution. If a dispute arises between you and Watchtips.com, we strongly encourage you to contact us directly to seek a resolution by sending an email to info@watchtips.com. We will review your complaint and do our best to resolve it. If a dispute between us cannot be resolved amicably, to the maximum extent permitted by applicable law, these Terms of Use, their subject matter, and their formation (and any non-contractual dispute or claim) are governed by the laws of the Dubai International Financial Centre ("DIFC") and will be interpreted accordingly. You irrevocably agree that the DIFC courts will have exclusive jurisdiction to resolve any dispute or claim arising from, or in connection with, your use of the Platform or these Terms of Use and all matters arising therefrom (including any dispute concerning the existence, validity, or termination of these Terms of Use or any contractual or non-contractual obligation).

Effective Date: February 24, 2025

These Terms, relating to the "Serials Checker" service available on the Platform, are between Watchtips.com, referred to as "Watchtips", and the user, referred to as "the Client" or "Client".

PRELIMINARY PROVISIONS

1. The Client can submit searches for watches in order to check whether they are registered as lost or stolen on the Watchtips database.

2. The Client must provide accurate research information.

3. The Client accepts that not all stolen or lost watches are reported and registered on the Watchtips database or any other database.

4. The Client accepts that all the search results provided, does not exclude the need to check the authenticity of the watch and any other credentials of the seller, the legitimate ownership and the legitimate origin of the watch.

5. The Client will view the search results directly in the app and may also receive a summary via email and/or SMS. The result reflects the status of the watch (reported or not) at the time of the search.

6. The Client accepts that the status of any watch may change in future and it is therefore advisable to request a search at the point of every transaction.

7. The Client must not provide confidential information to any third party, except to law enforcement agencies, insurance companies, theft victims, and their representatives.

8. Any documents and/or information provided by the Client regarding a theft or loss are reviewed by Watchtips and will be entered into the database only if Watchtips considers the report sufficiently credible and supported by evidence.

9. Watchtips cannot guarantee the truthfulness and accuracy of documents sent by customers who have reported missing or stolen watches.

10. Watchtips will not be liable to the Client without any exceptions.

The parties agree that, in the event of any dispute arising out of or in connection with this Agreement, they will first attempt to resolve the matter amicably and, if unsuccessful, through mediation before initiating any legal proceedings. Should the dispute remain unresolved, any legal action shall be brought exclusively before the courts specified in the General Terms of Use.

TERMS AND CONDITIONS

1. THIS AGREEMENT
a) Agreement to these Terms and Conditions (the “Agreement”) represents the entire agreement between “Watchtips” and you (“the Client”) (together “the Parties”).
b) This Agreement supersedes all prior oral or written agreements, arrangements or understandings between the Parties.
c) The Client acknowledges that it has not relied on any statement, promise, representation, assurance or warranty made or given by or on behalf of Watchtips which is not set out in this Agreement.

2. INTERPRETATION
a) In this Agreement:
i) use of the singular includes the plural (and vice versa) and reference to any gender includes all genders;
ii) reference to any law or statute includes a reference to that law or statute as from time to time amended and to any orders, statutory instruments or regulations made under that law or statute;
iii) reference to writing or written includes emails.
b) Headings to clauses contained in this Agreement are inserted for convenience only and they do not form part of or affect the interpretation of this Agreement.

3. DEFINITIONS
a) “Database” means the computerised register of missing or stolen items maintained by Watchtips;
b) “Object” means any stolen, lost or looted property, any item the subject of a lien or other security interest in the Client’s favour, or any item in which the Client has a contingent interest subject to a dispute;
c) “Registration Fee” means the relevant fee for registration currently advertised on Lost Watches website.

4.1 THE REGISTRATION SERVICE
a) Watchtips agrees to register Objects on the Database on behalf of the Client (the “Registration”). Other than this Registration, no warranties, promises or undertakings are being made to the Client through this Agreement. The service is provided free of charge and on an “as is” basis. It is offered solely for informational and preventive purposes.

b) Watchtips shall at all times have the right to determine whether an Object qualifies to be included or maintained in the Database and may delete any records without notice to the Client. Watchtips shall not be required to provide any justification for such decisions.

c) All Objects will be checked against the Database prior to Registration. If an Object matches an item already in the Database, the Client agrees to cooperate with law enforcement and the reporting party to facilitate the return of the Object to its rightful owner. If currently in possession of the matching Object, the Client agrees to retain it and not transfer it to any third party.

d) If Watchtips requests further information from the Client which it deems necessary to complete the Registration, and the Client fails to provide such information within 14 days, or any other period set by Watchtips, the Registration may be declined.

e) Should Watchtips need to undertake additional research and/or incur additional costs to complete a Registration, Watchtips reserves the right to request prior consent from the Client to apply additional charges. These charges, if agreed, shall be payable within 14 days of the related invoice.

f) The Database may be accessed in response to appropriate inquiries from the Client and other users, including but not limited to insurance companies, law enforcement agencies, private individuals, and traders.

g) Watchtips reserves the right to refuse service, terminate accounts, or remove or edit content at its sole discretion.

4.2 THE RECOVERY SERVICE
a) The Client acknowledges that Watchtips does not undertake the recovery, location, or return of registered Objects (the “Recovery”) and does not provide any investigation, liaison with law enforcement, third parties, or updates on the status of a reported Object. The sole purpose of the service is to make information about lost or stolen Objects available in the Database, which may assist third parties or authorities.

b) Watchtips may, at its discretion, cooperate with law enforcement agencies, relevant insurers, or any party it believes should be informed about a potential Recovery, but is under no obligation to do so.

c) Watchtips is not responsible for keeping the Client informed of any developments by telephone, email, or post.

d) The Client agrees to promptly notify Watchtips if the Object reported has been recovered or returned to its rightful owner, so that the relevant report may be updated or removed from the Database. The Client acknowledges that they do not have access to a personal area to manage or delete such reports independently.

5. WATCHTIPS SERVICES
Watchtips warrants to the Client that the services provided for under this Agreement will be provided using reasonable care and skill.

6. LIMITATION OF LIABILITY – The Client’s attention is specifically drawn to this clause

a) Nothing in this Agreement limits or excludes Watchtips’ liability for:

i) death or personal injury caused by its negligence;

ii) fraud or fraudulent misrepresentation; or

iii) any liability which cannot be limited or excluded by applicable law.

b) Subject to clause 6.a:

i) Watchtips shall under no circumstances be liable to the Client, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with this Agreement; and

ii) Watchtips' total liability to the Client in respect of all other losses arising under or in connection with this Agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed EUR 100.00 (One Hundred Euro).

c) This clause 6 shall survive the termination of this Agreement.

7. CONFIDENTIALITY

a) Watchtips will keep confidential all information provided by the Client, unless the Client expressly authorizes its disclosure.

b) It is understood and agreed that Watchtips may, from time to time, be under a legal obligation to disclose information in the course of its operations. In particular, the Client acknowledges and agrees that Watchtips has the right to search its Database and, in the event of a match to an Object, notify not only the Client but also any insurer of the item, loss adjuster, law enforcement agency, or any other party that Watchtips, in its sole discretion, considers should be informed.

c) The confidentiality obligations contained in this clause shall not apply to any information which:

i) is or becomes publicly available (other than through a breach by the receiving party);

ii) can be demonstrated to have been lawfully in the receiving party’s possession prior to disclosure; or

iii) is required to be disclosed pursuant to a legally enforceable request from a competent law enforcement authority or a valid court order.

d) The Client agrees that no information provided by Watchtips to the Client shall be disclosed to any third party without the prior written consent of Watchtips, such consent not to be unreasonably withheld or delayed.

8. WARRANTIES BY THE CLIENT

a) By registering an Object, the Client warrants:

i) the accuracy and completeness of any information supplied to Watchtips;

ii) that they will fully, accurately and promptly disclose any information that may be relevant to the Object’s ownership, location, recovery, or disposition, including but not limited to tax or export license matters, third-party interests, or any other information relevant to the legitimate owner or useful for recovery;

iii) that they will cooperate fully with Watchtips to ensure the accuracy and integrity of the Database;

iv) that they have a legitimate registrable interest in the Object;

v) that, where an Object is covered by an insurance policy, all relevant details of coverage and the identity of the insurer have been provided.

b) In the event that the Client becomes aware of the recovery of an Object registered as lost or stolen, the Client warrants that they will promptly inform Watchtips so that the status of the Object may be updated or removed from the Database. The Client acknowledges that they do not have access to a personal account area for making such changes independently.

c) The Client warrants that Watchtips has permission to reproduce any Object, whether by photograph or illustration (including by electronic means), and agrees to indemnify Watchtips against all claims arising from any actual or alleged infringement of copyright made by any third party in connection with Watchtips’ use of such images in the course of its business.

d) The Client warrants that no information provided by Watchtips shall be released to any third party without the prior written consent of Watchtips, which shall not be unreasonably withheld or delayed.

9. INDEMNITY

The Client agrees to indemnify and hold harmless Watchtips from and against any and all claims, losses, liabilities, damages, or expenses (including reasonable legal fees) arising out of or relating to:

a) the use of any information contained in the Database by a third party, where such information was made available to that third party by the Client without the prior written consent of Watchtips; and

b) any use by the Client of the Registration service, or any reference to Watchtips or the Registration, in dealings with a third party, which results in Watchtips being involved in any dispute or legal action.

10. NO AGENCY OR PARTNERSHIP
Nothing in this Agreement shall be construed to constitute either party as the agent, partner, joint venturer, or legal representative of the other. This Agreement does not create any partnership or agency relationship between the parties.

11. TERMINATION OF THE AGREEMENT

a) The Client may terminate this Agreement by giving no less than sixty (60) days’ written notice to Watchtips (“Termination Notice”).

b) Termination Notice may not be served in relation to any Object once the Client has been informed that the Object has been located or that information has been received which could lead to its recovery.

c) The termination of this Agreement shall not result in the removal from the Database of the record of the loss or theft that has been registered.

d) Upon service of Termination Notice, the Client shall become liable to pay an administration and management fee of EUR 50.00 per year, or part thereof, since the date of Registration, for each Object registered. Termination shall not take effect until this fee has been paid in full.

e) In the event that an Object is located following the termination of this Agreement, Watchtips shall be under no obligation to provide the Client with any information concerning its location.

f) Without prejudice to its other rights and remedies, Watchtips reserves the right to terminate this Agreement at any time without prior notice to the Client. In such cases, Watchtips will notify the Client of its decision to terminate.

g) Any clauses of this Agreement which expressly or by implication are intended to survive termination shall remain in full force and effect notwithstanding termination.

12. PUBLICITY

The parties agree to consult with each other, and with any relevant third parties, including law enforcement agencies, prior to making any public statement concerning any Objects or Recoveries that are the subject of this Agreement.

13. NOTICES

a) Any notice given under this Agreement must be in writing and may be delivered:

i) by electronic mail or by hand. In such cases, the notice shall be deemed received on the day it is delivered, unless delivery occurs outside of normal working hours of the recipient, in which case it shall be deemed received on the next working day; or

ii) by registered post, in which case the notice shall be deemed received two (2) working days after the date of posting.

b) The address of each party for the service of notices shall be as set out in this Agreement, unless and until it is changed by notice given in accordance with this clause.

14. SEVERABILITY

a) If any provision or part of a provision of this Agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to render it valid, legal, and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Such modification or deletion shall not affect the validity and enforceability of the remaining provisions of this Agreement.

b) If either party gives notice to the other of the possibility that any provision or part-provision of this Agreement is invalid, illegal, or unenforceable, the parties shall negotiate in good faith to amend that provision so that, as amended, it is legal, valid, and enforceable, and, to the greatest extent possible, achieves the intended commercial purpose of the original provision.

15. WAIVER

a) A waiver of any right under this Agreement or applicable law shall only be effective if made in writing and shall not be deemed a waiver of any subsequent breach or default. No failure or delay by either party in exercising any right or remedy under this Agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict any further exercise of that or any other right or remedy. A single or partial exercise of any such right or remedy shall not prevent or restrict the further exercise of that or any other right or remedy.

b) No indulgence or extension of time granted by Watchtips to the Client shall constitute a waiver or limitation of any of Watchtips' rights, unless such waiver or limitation is explicitly set out in a written document signed by Watchtips.

16. FORCE MAJEURE

Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, government restrictions (including denial or cancellation of any permit or license), war, insurrection, natural disasters, pandemics, strikes, or other causes beyond the affected party’s control.

17. THIRD PARTIES

A person who is not a party to this Agreement shall have no right to enforce any of its terms.

18. CONFLICT

In the event of any conflict or inconsistency between the provisions of this Agreement and any other relevant terms, conditions, policies, or notices, the provisions of this Agreement shall prevail.

19. GOVERNING LAW AND JURISDICTION

a) The construction, validity, and performance of this Agreement shall be governed by and construed in accordance with Italian law.

b) Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be governed by the dispute resolution and jurisdiction clauses set forth in the General Terms and Conditions of Use available on the Watchtips website, which are incorporated herein by reference.

Watchtips.com Dubai operates the Platform and is therefore the data controller of your Personal Data (referred to as "Watchtips.com," "we," "us," or "our" in this Privacy Policy). PERSONAL DATA WE COLLECT FROM YOU
The personal data we collect directly from you is described in the table below. "Personal Data" means information about an individual from which that individual can be directly identified or can be identified. It does not include "anonymized data" (which are information where an individual's identity has been permanently removed). However, it does include "pseudonymized data" (which are information that on their own do not identify an individual but, when combined with additional information, could be used to identify an individual).

Identity Data
First name, last name, username or similar identifier, profile photo, phone
number, email, location. For business accounts, any information related to the
business as well.

During the account verification process, we will also process a copy of your ID
card with all the information included. We use robust measures to protect this
information and prevent fraudulent or harmful actions such as identity theft,
phishing scams, non-delivery, and payment fraud.

We may also be able to save your approximate location if you activate this
feature via your device.

Ad Data
Details of your previous and current listings on the Platform, as well as
details of listings from other users that you have viewed and offers you have
made on other users' listings.

Marketing Data
Your preferences regarding the receipt of marketing messages from us.

Chat, Community, or Forum Data
Details of the messages you exchange with other users of the Platform via the
"Chat," "Community," or "Forum" features,
including any additional Personal Data you may disclose in those messages.

Call Data
Call recordings (or messages) between you and our teams, which are recorded for
monitoring and training purposes.

Behavioral Data
Information inferred or presumed regarding your behavior and interests based on
your activity on the Platform. These are often collected and grouped into "segments" on an aggregated basis.

Technical Data
IP address (Internet Protocol), login data, browser type and version, timezone
setting and location, types and versions of browser plug-ins, operating system
and platform, and other technologies on the devices you use to access this
website or to use our services.

Aggregated Data
We also collect, use, and share "aggregated data," such as statistical or demographic data for a variety of purposes. Aggregated data may be derived from your Personal Data, but once in an aggregated form, it no longer constitutes Personal Data, as this data does not directly or indirectly

calculate the percentage of users who access a specific feature on the
Platform. However, if we combine or link aggregated data with your Personal

We do not knowingly collect any "special category of personal data"
about you (this includes, for example, details about your race or ethnicity,
religious or philosophical beliefs, political opinions, health information,
genetic and/or biometric data, and information about criminal offenses and

via our support chat feature) or with other users of the Platform (for example,
via the user chat feature). However, if you choose to share such data with us

What happens if you refuse to provide the required Personal Data?
You are not obligated to provide us with any Personal Data. However, where we
need to process your Personal Data to grant you access to the Platform or to
comply with applicable law, and you do not provide such Personal Data when

we need your email address to register your account on the Platform.

the Platform when you wish to conduct transactions with them through the
Platform. By posting an ad or submitting a review/rating on our Platform, such
information and all Personal Data associated with your account profile
(including your username, profile image, and status/category) will be publicly
accessible and may be copied and shared externally by other users of our
Platform. This information may also appear in third-party search engine results
(e.g., Google search results). Please ensure that you are comfortable with the
public availability of this information before submitting it on our Platform.

Recipients: Service Providers
Purpose: Our service providers provide a range of services necessary for the
operation of the Platform (e.g., IT services, system administration services,
or marketing services) and, as a result, may have access to your Personal Data.

Recipients: Our Affiliates
Purpose: Our affiliate companies may need access to your Personal Data as they
help us manage the Platform and user data. We may also use your Personal Data
to understand how you use various products managed by Watchtips.com as a whole.

Recipients: Professional Advisors
Purpose: Our lawyers, bankers, auditors, insurers, and other professional
advisors may need limited access to your Personal Data when providing us with
advisory, banking, legal, insurance, or accounting services.

Recipients: Public Authorities
Purpose: Public authorities may require us to disclose user data in certain
circumstances, as required by law (e.g., in police investigations).

Recipients: Buyers
Purpose: We may share your Personal Data with third parties in the event of a
reorganization, merger, sale, joint venture, assignment, transfer, or other
disposal of all or part of our business, so that any potential buyer can
continue managing the Platform. In such cases, we will ensure that these

We may transfer your Personal Data to jurisdictions outside the country in
which you reside, which may not be considered to provide the same level of data
protection as your home country, as necessary for the purposes outlined in this
Privacy Policy. We will always ensure that such cross-border transfers of your
Personal Data comply with the applicable requirements.

HOW WE PROTECT YOUR PERSONAL DATA
We have implemented appropriate security measures to prevent your Personal Data

contractual obligation of confidentiality.

We aim to respond to all legitimate requests within one month of receiving
them. Occasionally, it may take us longer than a month if your request is
particularly complex or if you have made multiple requests. In this case, we
will inform you and keep you updated. While we generally do not charge for exercising the above rights, we reserve the right to charge a reasonable fee in certain circumstances (e.g., if the request is unreasonable or if an excessive number of requests are made).
